These Terms of Use (“Terms”) govern your access to and use of the websites, mobile & desktop applications, and related services (collectively, the “Services”) operated by Tipli AI, LLC (“Tipli AI,” “we,” “us,” or “our”).

1. Use of the Services

The Services are provided for lawful purposes only. You agree not to use the Services in a way that violates any applicable law or regulation.

Certain portions of the Services, including the website, are provided for informational purposes only and may not offer interactive functionality.

You may not:

Interfere with the operation or security of the Services
Attempt to reverse engineer, decompile, or extract source code
Introduce malicious code or harmful content
Use the Services to infringe intellectual property or privacy rights

2. Artificial Intelligence and Automated Processing

Tipli AI may use artificial intelligence systems and third-party AI services to process data submitted through the Services.

You acknowledge and agree that:

AI-generated outputs may be inaccurate, incomplete, or unpredictable
Outputs are provided for informational purposes only
You are solely responsible for evaluating and using any output

The Services do not provide legal, medical, financial, or other professional advice, and no output should be relied upon as such.

Tipli AI makes no representations or warranties regarding AI-generated results.

3. User Content

You may submit data, files, images, text, or other materials (“User Content”) to the Services.

You retain ownership of your User Content. By submitting User Content, you grant Tipli AI a perpetual, irrevocable, worldwide, royalty-free license to use, store, analyze, modify, train models on, and otherwise process such content for any lawful business purpose, including improving existing products and developing new ones.

User Content is not made publicly available, but may be accessed by Tipli AI personnel and service providers.

You represent that you have all necessary rights to submit the User Content.

4. Third-Party Services

The Services rely on third-party providers, including analytics, infrastructure, email delivery, and AI services. Tipli AI is not responsible for third-party services or their practices.

Apple and Google are not parties to these Terms and have no responsibility for the Services.

5. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPLI AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPLI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL TIPLI AI’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO TIPLI AI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU PAID NOTHING, TIPLI AI’S LIABILITY IS ZERO.

7. Indemnification

You agree to indemnify and hold harmless Tipli AI from any claims, losses, damages, or expenses arising from your use of the Services or violation of these Terms.

8. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, not in court. You waive any right to participate in a class action, class arbitration, or representative proceeding.

9. Termination

We may suspend or discontinue the Services at any time, with or without notice. Upon termination, provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law shall survive.

10. Governing Law and Venue

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. Venue for any permitted court proceedings shall be located in New Mexico, United States.

11. Changes

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
